These Terms of Use (the “Terms”) govern access to and use of Synapse, a cloud software platform operated by Woby Web Maroc (“Synapse”, “we”, “us”).
By creating an account, accessing or using Synapse, you accept these Terms. If you do not agree with these Terms, you must not access or use the Service.
1. About Synapse
Synapse is a SaaS software platform designed to help individuals and organizations manage their customer relationships, business information, contacts, workflows, communications and related business activities.
Depending on the subscription and the features available, Synapse may offer integrations with third-party services, including services provided by Google and other technology providers.
2. Eligibility
You may use Synapse only if you have the legal capacity to enter into a binding contract under the laws that apply to you.
If you use Synapse on behalf of an organization, you represent that you have the authority to accept these Terms on behalf of that organization.
3. User accounts
Some Synapse features require creating an account. You agree to provide accurate and up-to-date information when creating and updating your account.
You are responsible for keeping your login credentials confidential and for the activities carried out through your account.
You must notify Synapse promptly if you become aware of any unauthorized access to your account or any other security incident affecting your account.
4. Use of the Service
Subject to these Terms and the applicable subscription terms, Synapse grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for your internal business or personal needs.
You may not resell, sublicense, distribute, copy, modify, decompile, disassemble or attempt to extract the source code of Synapse, except where such restriction is prohibited by applicable law.
5. User content and data
You retain ownership of the information, files, records, contacts, documents and other content that you submit, import, synchronize or otherwise provide to Synapse (“User Content”).
You grant Synapse a limited, non-exclusive right to host, store, process, transmit, reproduce and display User Content solely to the extent reasonably necessary to provide, maintain, secure and operate the Service.
You are responsible for the lawfulness, accuracy and integrity of User Content, and for holding all the rights and permissions needed to provide it to Synapse.
6. Third-party services and integrations
Synapse may offer integrations with third-party services that allow you to connect external accounts and use information or features provided by those services within Synapse.
Connecting a third-party account is optional and initiated by you. When you authorize an integration, you grant Synapse the permissions needed to provide the feature you have chosen to use.
Your use of third-party services remains subject to the terms and policies of the relevant third-party provider. These services may change their APIs, permissions, availability, pricing or features, which may affect the availability of the corresponding Synapse features.
7. Google services and Google user data
Synapse may allow you to connect Google services to your Synapse account. When you choose to do so, Synapse may request access to specific Google user data through Google APIs.
Access to Google user data is based on the permissions and scopes you authorize. Synapse requests this access only when it is necessary to provide the corresponding feature of the Service.
Google user data obtained through Google APIs is used only for the purposes communicated to you when using the relevant Synapse feature, in accordance with the applicable Google API requirements.
Synapse does not sell Google user data. Synapse does not use Google user data for advertising purposes.
Synapse’s access to and processing of information received from Google APIs is subject to the Google API Services User Data Policy, including the applicable Limited Use requirements.
You may revoke Synapse’s access to your Google account at any time through the security and account settings provided by Google. Revoking this access may prevent Synapse from providing features that depend on the relevant Google integration.
8. Privacy and personal data
The processing of your personal data is described in our Privacy Policy, which forms an integral part of your relationship with Synapse and must be read together with these Terms.
9. Acceptable use
You agree not to use Synapse to:
- violate any applicable law or regulation;
- infringe the rights of another person or organization;
- access another user’s account without authorization;
- attempt to bypass security or authentication mechanisms;
- introduce malware or harmful code;
- interfere with or disrupt the operation of Synapse;
- engage in fraudulent, deceptive or abusive activities;
- use the Service in a way that could damage or overload it;
- use integrations or APIs in violation of the relevant provider’s terms.
10. Intellectual property
Synapse and all associated software, technologies, interfaces, designs, trademarks, logos, documentation and other elements are owned by or licensed to Woby Web Maroc, and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted by these Terms, no ownership right or license in Synapse is transferred to you.
11. Subscriptions and fees
Some Synapse features may only be available through a paid subscription. The applicable pricing, billing periods, limits and other commercial terms will be presented to you before you subscribe.
Unless otherwise stated at the time of purchase, subscriptions may renew automatically for successive billing periods until they are terminated.
You authorize Synapse or its payment provider to charge the applicable fees to the payment method associated with your subscription. Failure to pay may result in the suspension or termination of access to paid features.
12. Availability of the Service
We make reasonable efforts to maintain the availability and reliability of Synapse. However, we do not guarantee that the Service will always be uninterrupted, secure, error-free or available at all times.
Synapse may become temporarily unavailable due to maintenance, updates, security measures, infrastructure failures, network problems, third-party service interruptions, or circumstances beyond our reasonable control.
13. Security
We implement reasonable technical and organizational measures designed to protect the Service and User Content against unauthorized access, alteration, disclosure or destruction.
No online service can be guaranteed to be completely secure. You acknowledge the risks inherent in transmitting and storing information online, and you are responsible for maintaining appropriate security practices for your account.
14. Account suspension and termination
You may stop using Synapse and request the termination of your account at any time, subject to any applicable contractual or subscription obligations.
We may suspend or terminate access to all or part of the Service where reasonably necessary to protect Synapse, its users, third parties or our systems, including in the event of a material breach of these Terms or of applicable law. Where reasonably possible, we will give notice before taking such action.
15. Data export and deletion
Where Synapse offers a data export feature, you may use it to retrieve your User Content before your account is terminated.
After account termination, User Content may be deleted in accordance with our retention and deletion procedures described in our Privacy Policy. Some information may be retained where required by law, or where necessary to resolve disputes, enforce our agreements, prevent fraud or protect the security of Synapse.
16. Changes to the Service
Synapse is under continuous development and may be modified, improved, replaced or discontinued in whole or in part. We may add, change or remove features, subject to our applicable contractual and legal obligations.
17. Disclaimer of warranties
To the fullest extent permitted by applicable law, Synapse is provided “as is” and “as available”. Unless otherwise required by law or agreed in a specific written agreement, we do not guarantee that the Service will meet all your requirements, operate without interruption or be entirely error-free.
We are not responsible for the availability, performance, security or operation of third-party services connected to Synapse.
18. Limitation of liability
To the fullest extent permitted by applicable law, Woby Web Maroc shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of or related to your use of, or inability to use, Synapse.
Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited under applicable law.
19. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Woby Web Maroc harmless from any claim, damage, liability and reasonable expense arising from your unlawful use of Synapse, your breach of these Terms, or your infringement of a third party’s rights.
20. Changes to these Terms
We may update these Terms from time to time to reflect changes to Synapse, to our business practices, or to legal or security requirements. When changes are material, we will take reasonable steps to inform the users concerned.
Your continued use of Synapse after the effective date of the updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
21. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Kingdom of Morocco, without regard to conflict of laws principles.
Any dispute arising from these Terms or from the use of Synapse shall be submitted to the courts of Tétouan, Morocco, unless otherwise required by law.
22. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.
23. Entire agreement
These Terms, together with the Privacy Policy and any applicable specific subscription or service terms, constitute the entire agreement between you and Synapse regarding your use of the Service.
